Terms and Conditions of Use

Mobiletron Electronics Co., Ltd. (the “Company”) provides “ TPMS EXPRESS” (the “Software”) to conduct product testing service (the “Service”) under the terms and conditions of use of the Software as stated herein (the “Terms”). In order to ensure your rights and interest, you should read the Terms carefully. By using the Software you have read, understood, and accepted the Terms.

• 1. Content of the Service
• 1.1 You understand that the purposes of the Software are to test the Company’s products and to collect and process the testing data. You may use the Software only for this purpose.
• 1.2 When using the Software, you should understand all functions of the Software and agree to receive instructions and notices related to the Service from the Software to assist you in using the Software.
• 1.3 Prior to installing the Software, you must obtain the Company’s authorization online. Prior to opening the execution files you must also obtain the Company’s authorization online. The execution files will be valid for two weeks.
• 2. Data Collection
• 2.1 The Company, its affiliates or any third party appointed by Company (together, the “Group”) will collect certain information and data about you solely in connection with using the Service for the improvement of the Software.
• 2.2 In order to ensure the completeness of the Service, you should provide true, accurate, current, and complete information when you apply for a user account and while using the Software.
• 2.3 If you provide information that is false, may infringe the rights of any third party, or violates the Terms or other regulations, the Company has right to require you to correct your application information, refuse your application, or suspend your license. You should take responsibility of liability arising from the aforesaid behavior.
• 2.4 The Group will comply with the Company’s privacy policy, personal data protection rule, and other related regulations in the process of collecting, handling, and using your information.
• 3. Account Keeping
• 3.1 You are restricted to use the Software only with your own registered account and shall comply with the Terms. You shall not allow any third party to use the Software through unlawful copying, distributing, reverse engineering, or any other manner.
• 3.2 You are responsible for maintaining the confidentiality of your password and are liable for all activities that take place under your account.
• 3.3 You agree to immediately notify Company of any unauthorized use of your password or account and of any breach of the Terms.
• 3.4 You shall be liable for any loss or damage arising from your failure to keep your account password secure or allow any third party to use your account.
• 3.5 Company may take over, suspend, or terminate user accounts without prior notice if the Company has determined, at its sole discretion, that the user has breached the Terms or may breach the Terms.
• 4. Intellectual Property Rights
• 4.1 You understand and agree that any information provided by the Software, including but not limited to the content of the Service, program code, charts, drawings, or analysis results are owned by the Company and protected by the relevant laws. You have no rights to the Service or the Software unless the Company has provided written confirmation otherwise.
• 4.2 Unless you have received the Company’s prior written consent, you shall not modify, edit, copy, reproduce, sell, resell, distribute, create derivative works of, or reverse engineer the Software in whole or in part, or use the Software for commercial purposes.
• 4.3 You shall not remove or revise any copyright information, technological protection measures, or other rights marks contained in the Software or the Service. You may not engage in any activity that interferes with or disrupts the Software, Service, or networks connected to the Software.
• 4.4 You shall not declare that the Company and/or “ TPMS EXPRESS” are/is your partner without the Company’s prior consent.
• 5. Disclaimer of Warranty
• 5.1 The Company has used its best effort to avoid errors in the process of preparing and collecting information. Nevertheless, the Company will not be liable of any damage for error, delay, or loss of information arising from or in connection with the Service.
• 5.2 COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND (EXPRESS, IMPLIED) WITH RESPECT TO THE SOFTWARE, WHICH INCLUDES BUT IS NOT LIMITED TO, ANY WARRANTIES OF ERROR-FREE, MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE, AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, IN ADDITION, THE COMPANY HAS NO DUTY TO CORRECT THE ERROR OF THE SERVICE OR THE SOFTWARE.
• 5.3 IN NO EVENT WILL THE COMPANY BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOSS OF REVENUES, LOST PROFITS, LOSS OF GOODWILL, LOSS OF USE, BUSINESS INTERRUPTION, OTHER TANGIBLE LOSSES OR INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH USE OR INABILITY TO USE THIS SOFTWARE.
• 6. Modification
• 6.1 Company reserves the right to modify, suspend, or discontinue the Software or the Service at any time without notice to you.
• 6.2 Company reserves the right to modify the Terms (including any other documents that are referenced in or linked to from the Terms) at any time. Company will post notice of such changes on the Software as applicable. Continued use of the Software following notice of any such changes shall indicate your acknowledgement of such changes.
• 7. Governing Law and Jurisdiction
• 7.1 本These Terms shall be governed by the laws of the Republic of China. All lawsuits arising from or relating to the Terms shall be brought in the Taichung District Court.
